In 1957, St. Francis High School was incorporated in the State of Illinois as a private not-for –profit corporation governed by its Board of Directors according to the Articles of Incorporation, the Bylaws of the Corporation, and the legal statutes related to the General Not-for-Profit Act of the State of Illinois. As a Catholic educational institution, it operates in the Diocese of Joliet with permission of the Bishop.
The current Bylaws were formally enacted on November 13, 2006. The Board of Directors consists of alumni, parents of alumni, current parents and civic leaders as well as representatives of the local church. The minimum number of Directors is 11 and the maximum number of Directors is 16. Currently, 16 Directors currently serve on the Board. The Board of Directors meets four times a year and all of its meetings are open to the public. The Board operates under the following standing committees.

Executive Committee
Composition: The Executive Committee is comprised of the President of the School, Chair, Vice-Chair, Treasurer, and Secretary of the Board, the Chairs of each standing committee and, when appropriate, the previous Chair of the Board. The Board Chair chairs this committee.
Responsibilities:
- Develops board and committee goals for coming year based on strategic plan goals and current needs
- Prepares the board calendar and meeting agendas
- Assists the President of the School as sounding board and counsel
- Serves as an urgent action committee as needed between board meetings. Decisions taken by this committee are subject to review by the full board
- Prepares and reviews the board evaluation and contract renewal of the School President
- Meets bi-monthly or more frequently as needed

Building and Grounds Committee
Composition: The Buildings and Grounds committee is comprised of the School President, the school Director of Finance & Operations, at least two directors and additional members representing particular areas of expertise.
Responsibilities:
- Participates in development of facilities planning
- Assists in oversight of implementation of master site plan
- Assesses and addresses long term maintenance needs of the school
- Reviews maintenance schedules and preventative maintenance programs
- Assists with oversight of major facilities projects, including offering advice on selection of architects, contractors, and project managers
- Informs the finance committee of needs regarding buildings and grounds for inclusion in annual financial planning
- Meets bi-monthly or more frequently as needed

Development Committee
Composition: The Development Committee is comprised of the School President, the Development Director, Director of Recruiting and at least two directors and additional members representing particular areas of expertise.
Responsibilities:
- Coordinates the fund-raising activities of the school
- Proposes fundraising goals and strategies to the board, particularly in the area of planned gifts, endowment development, and capital giving
- Assesses fundraising capability to meet stated goals of the strategic plan
- Works with the finance committee in developing realistic planning and budgeting goals
- Recommends financial goals for the annual giving campaign
- Orchestrates trustee leadership and participation in fundraising
- Works with alumni and parent groups to encourage support of fundraising and community building
- Develops and implements fundraising campaigns and activities
- Works with the marketing committee to coordinate internal and external communication
- Meets bi-monthly or more frequently as needed

Composition: The Finance Committee is comprised of the School President, the school Business Manager, the Development Director, at least two directors and additional members representing particular areas of expertise.
Responsibilities:
- Approves the proposed annual operating budget before it is presented to the board for discussion and approval
- Monitors financial operations of the school and makes regular financial reports to the board
- Reviews actual vs. budgeted performance
- Helps to develop the investment policy statement and monitors the investment manager performance, adherence to the investment policy and retention
- Suggests cost saving measures and offers financial advice and guidance
- Monitors the school’s cash position
- Monitors the progress of significant capital improvements
- Coordinates a search for a new money manager with the staff, when required, and recommends the manager to the Board
- Reviews the process for selection and retention of the school’s banking relationship
- Approves and recommends to the Board any bank or other forms of financing
- Oversees risk management
- Periodically reviews financial policies and procedures and recommends changes to the board
- Authorizes and reviews the yearly audit of the school’s financial condition with the staff and independent CPA who prepared the audit
- Coordinates a search for a new CPA with the staff, when required, and recommends the new firm to the Board
- Reviews staff requests for major non-budgeted expenditures
- Works closely with other board committees whose work affects the finances of the school—specifically, the Stewardship Committee, and the Building and Grounds committee
- Reviews and reports to the Board on compensation policies for the Faulty/Staff, in partnership with Education Committee.
- Meets bi-monthly or more frequently as needed

Education Committee
Composition : The Education Committee is comprised of the School President, the Principal, at least two directors and additional members representing particular areas of expertise.
Responsibilities:
- Ensures the spiritual, academic, and co-curricular programs are in accord with the policies of the Diocese of Joliet, the school’s strategic plan, and the mission, vision and philosophy.
- Reviews the evaluations of the school prepared by outside agencies and to monitor implementation of the recommendations.
- Works in conjunction with the President, Principal and faculty and staff representatives to monitor the quality of the following:
- admissions
- curriculum and instruction
- college placement results
- Hears presentations from each department and director on a rotating basis.
- Collaborates with other committees on issues of shared concern.
- Reports annually to the Board of Directors.
- Reviews the yearly profile of the school.
- Meets bi-monthly or more frequently as needed.
